1. Agreement to Terms

By accessing or using SnowCoder ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. If you are using the Service on behalf of an organization, you are agreeing to these Terms on behalf of that organization, and you represent that you have authority to bind that organization to these Terms.

2. Description of Service

SnowCoder is a SaaS platform that helps ServiceNow developers write code using artificial intelligence powered by Anthropic's Claude. The Service includes:

  • AI-powered code generation for ServiceNow development
  • ServiceNow instance integration and management
  • Conversation history and artifact storage
  • Code analysis and optimization suggestions
  • API access for automated workflows

3. Account Registration

3.1 Account Creation

To use certain features of the Service, you must register for an account. When you register, you agree to:

  • Provide accurate, current, and complete information
  • Maintain and promptly update your registration information
  • Keep your password confidential and secure
  • Accept responsibility for all activities under your account
  • Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 18 years old to create an account. By creating an account, you represent that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • You are not barred from using the Service under applicable law
  • Your use complies with all applicable laws and regulations

3.3 Organization Accounts

If you create an account on behalf of an organization:

  • You represent you have authority to bind the organization
  • The organization accepts these Terms
  • "You" refers to both you individually and the organization
  • You are responsible for all users within your organization

4. Subscription and Payment

4.1 Subscription Plans

SnowCoder offers various subscription plans with different features and limits:

Enterprise Custom features, dedicated support Custom allocation

4.2 Payment Terms

  • Subscriptions are billed in advance on a monthly or annual basis
  • All fees are non-refundable except as required by law
  • Prices may change with 30 days' notice
  • You are responsible for all applicable taxes
  • Payment is processed securely through Stripe

4.3 Automatic Renewal

Subscriptions automatically renew unless:

  • You cancel before the renewal date
  • We terminate your account
  • Payment fails and cannot be collected

4.4 Cancellation

You may cancel your subscription at any time:

  • Access continues until the end of the billing period
  • No refunds for partial billing periods
  • Data retention follows our Privacy Policy
  • You can export your data before cancellation

5. Acceptable Use

5.1 Permitted Use

You may use the Service to:

  • Generate code for legitimate ServiceNow development
  • Integrate with ServiceNow instances you own or have authorization to access
  • Store and manage your development artifacts
  • Collaborate with authorized team members

5.2 Prohibited Use

You agree NOT to use the Service to:

Security Violations:

  • Attempt to gain unauthorized access to systems or data
  • Circumvent security measures or access controls
  • Perform vulnerability scanning without authorization
  • Distribute malware, viruses, or malicious code

Abuse:

  • Generate code for illegal or harmful purposes
  • Harass, abuse, or harm others
  • Impersonate others or misrepresent affiliation
  • Engage in fraud or deceptive practices

System Interference:

  • Overload or disrupt the Service infrastructure
  • Bypass rate limits or usage restrictions
  • Reverse engineer or decompile the Service
  • Scrape or harvest data without permission

Content Violations:

  • Generate illegal, harmful, or offensive content
  • Violate intellectual property rights
  • Generate content that violates third-party rights
  • Use the Service for spam or unsolicited communications

6. ServiceNow Integration

6.1 Your ServiceNow Instances

When you connect ServiceNow instances to SnowCoder:

  • You represent you have authorization to access those instances
  • You are responsible for compliance with ServiceNow's terms
  • You grant us permission to access your instances as necessary
  • You are responsible for the security of your credentials

6.2 Credential Storage

  • ServiceNow credentials are encrypted with AES-256-GCM
  • We access your instances only to provide the Service
  • You can revoke access at any time
  • We never share credentials with third parties

6.3 ServiceNow Compliance

You are responsible for:

  • Ensuring your ServiceNow usage complies with your ServiceNow agreement
  • Managing user access within your ServiceNow instances
  • Data governance within your ServiceNow environment
  • Any ServiceNow licensing requirements

7. AI-Generated Content

7.1 Code Generation

The Service uses AI (Claude by Anthropic) to generate code. You acknowledge that:

  • AI-generated code may contain errors, bugs, or security vulnerabilities
  • You are responsible for reviewing and testing all generated code
  • AI suggestions are not guarantees of functionality or security
  • Generated code should be validated before production use
  • Rapid or "vibe-coded" development may increase the risk of undetected defects

7.2 No Warranty on AI Output

We do not warrant that AI-generated content will:

  • Be error-free or suitable for any purpose
  • Meet your specific requirements
  • Be free of security vulnerabilities
  • Comply with any particular standards or security frameworks
  • Be suitable for production deployment without review

7.3 Security Review Requirements

IMPORTANT: You must perform appropriate security reviews on all AI-generated code before deployment. We strongly recommend:

  • Static Analysis: Run automated security scanning tools (e.g., SAST) on all generated code
  • Code Review: Have qualified personnel review generated code for security issues
  • Testing: Test code in isolated, non-production environments before deployment
  • OWASP Compliance: Check generated code against OWASP Top 10 vulnerabilities
  • ServiceNow Security: Validate code against ServiceNow security best practices

Failure to perform adequate security review may result in vulnerabilities including but not limited to: injection attacks, authentication bypasses, data exposure, and privilege escalation.

7.4 Safe Coding Guidance

We provide security guidance and best practices documentation to assist users in safely implementing AI-generated code. Users are encouraged to consult our Security Assurance Pack for security standards we apply to our own platform.

Your Obligations:

  • Implement appropriate access controls for any deployed code
  • Follow the principle of least privilege
  • Sanitize all user inputs in generated code
  • Review database queries for injection vulnerabilities
  • Test authentication and authorization logic thoroughly

7.5 Your Responsibility

You are solely responsible for:

  • Reviewing all generated code before use
  • Performing security scans and vulnerability assessments
  • Testing code in appropriate environments
  • Ensuring code meets your security requirements
  • Compliance with your organisation's security policies
  • Any consequences of using generated code, including security breaches

8. Intellectual Property

8.1 Our Intellectual Property

SnowCoder and its original content, features, and functionality are owned by SnowCoder and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

8.2 Your Content

You retain ownership of:

  • Code you input into the Service
  • Custom prompts and configurations
  • Your ServiceNow instance data
  • Documentation you create

8.3 Generated Code Ownership

Regarding AI-generated code:

  • We assign to you any rights we may hold in code generated specifically for you
  • We retain no ownership of your generated artifacts
  • You may use generated code without restriction
  • Attribution to SnowCoder is not required

8.4 Copyright Enforceability Disclaimer

IMPORTANT NOTICE REGARDING AI-GENERATED CODE AND COPYRIGHT:

Under UK copyright law (Copyright, Designs and Patents Act 1988), copyright protection requires sufficient "human creative input" for a work to be protected. The legal status of AI-generated content under UK and international copyright law is evolving and subject to judicial interpretation.

You acknowledge and understand that:

  1. Originality Requirements: Copyright protection for AI-generated code may depend on the level of creative input you provide in your prompts, specifications, and direction to the AI system.

  2. Simple Prompts: Code generated from simple or generic prompts (e.g., "create a button that deletes records") may lack sufficient human creative input to qualify for copyright protection under current UK law.

  3. No Guarantee of Protection: While we assign our rights to you, we cannot guarantee that AI-generated code will be legally protectable as your copyrighted work. The enforceability of copyright claims over AI-generated code depends on:

    • The complexity and specificity of your prompts
    • The level of your creative direction and selection
    • Current UK judicial precedents and statutory interpretation
    • Future legal developments in AI and intellectual property law
  4. Your Risk: You assume all risk regarding the copyright status and enforceability of rights in AI-generated code.

Recommendations:

  • Provide detailed, creative specifications in your prompts
  • Document your creative contributions and iterative refinements
  • Add your own original modifications to generated code
  • Seek legal advice if copyright protection is important to your use case

8.5 License Grant to Us

By using the Service, you grant us a limited license to:

  • Process your inputs to provide the Service
  • Store your data as necessary for Service operation
  • Improve our Service (with anonymization as appropriate)
  • Comply with legal obligations

9. Data and Privacy

9.1 Privacy Policy

Our Privacy Policy describes how we collect, use, and share your information. By using the Service, you agree to our Privacy Policy.

9.2 Data Processing

For enterprise customers, we offer Data Processing Agreements that comply with GDPR and other data protection regulations.

9.3 Data Security

We implement industry-standard security measures including:

  • Encryption at rest and in transit
  • Access controls and authentication
  • Regular security assessments
  • Incident response procedures

10. Service Availability and Support

10.1 Availability

We strive to maintain high availability but do not guarantee uninterrupted service. Planned maintenance will be announced in advance when possible. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY UPTIME GUARANTEES OR SERVICE LEVEL COMMITMENTS.

10.2 No Service Level Agreements

SnowCoder does not offer Service Level Agreements (SLAs) or uptime guarantees. We make reasonable efforts to maintain service availability but provide no commitments regarding:

  • Minimum uptime percentages
  • Response times for incidents
  • Service credits for downtime
  • Guaranteed resolution times

10.3 Support

Support is provided on a reasonable efforts basis:

  • Free: Community support only
  • Professional: Email support (business hours)
  • Enterprise: Priority email support

11. Third-Party Services and Anthropic Terms

11.1 Third-Party Integrations

The Service integrates with third-party services including:

  • Anthropic (Claude): AI model provider
  • Stripe: Payment processing
  • AWS: Infrastructure hosting
  • Cloudflare: Security and CDN

11.2 Anthropic Terms Pass-Through

IMPORTANT: The AI functionality in SnowCoder is powered by Anthropic's Claude. Your use of the Service is subject to Anthropic's terms, policies, and restrictions, which are incorporated by reference into these Terms:

By using SnowCoder, you acknowledge and agree that:

  1. Output Accuracy: AI-generated outputs may contain inaccuracies, errors, or hallucinations. Factual assertions in outputs should not be relied upon without independently checking their accuracy, as they may be false, incomplete, misleading, or not reflective of recent events.

  2. No Endorsement: References to third parties in AI outputs do not indicate endorsement by or working relationships with those parties.

  3. Content Responsibility: AI outputs may contain content inconsistent with Anthropic's or SnowCoder's views. You are responsible for evaluating the appropriateness of outputs before use or distribution.

  4. Prohibited Uses Under Anthropic Policy: You must not use the Service for any purpose prohibited by Anthropic's Usage Policy, including but not limited to:

    • Creating malware, cyberattacks, or hacking tools
    • Disinformation campaigns or content deceptive to democratic processes
    • Mass surveillance, tracking, profiling, or biometric monitoring
    • Content promoting hate speech, discrimination, or harassment
    • Weapons design or development
    • Building competing AI products or training competing AI models
    • Any use that violates applicable laws
  5. High-Risk Use Cases: For uses in law, finance, healthcare, or employment affecting individuals, you must implement appropriate safeguards including human oversight and clear AI content labeling.

  6. Anthropic's Rights: Anthropic reserves the right to monitor usage for compliance and may suspend or terminate access for violations of their policies.

11.3 Third-Party Terms Generally

Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for third-party service availability or performance. If there is any conflict between these Terms and Anthropic's terms regarding AI usage, Anthropic's terms shall prevail to the extent of such conflict.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • MERCHANTABILITY
  • FITNESS FOR A PARTICULAR PURPOSE
  • NON-INFRINGEMENT
  • ACCURACY OR RELIABILITY
  • UNINTERRUPTED OR ERROR-FREE OPERATION

WE DO NOT WARRANT THAT:

  • The Service will meet your requirements
  • The Service will be available at all times
  • Results will be accurate or reliable
  • Errors or defects will be corrected

13. Limitation of Liability

13.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SNOWCODER BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Cost of substitute services
  • Any damages arising from use of AI-generated code
  • Security vulnerabilities, breaches, or defects in generated code
  • Data breaches resulting from deployment of generated code
  • Any failure to perform security reviews as recommended in Section 7.3

13.2 Liability Cap

OUR TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF:

  • The amount you paid us in the 12 months preceding the claim
  • £100 GBP

13.3 Security Defects and Product Liability

Acknowledgment Regarding Security in Generated Code:

You acknowledge that AI-generated code may contain security vulnerabilities, and that evolving product liability legislation (including the EU/UK Product Liability Directive) may impose obligations on software providers regarding defective software. However:

  1. Our Reasonable Care: We have taken reasonable care by:

    • Providing security review guidance in Section 7.3
    • Publishing Safe Coding recommendations in Section 7.4
    • Documenting our own security standards in our Security Assurance Pack
    • Warning users of the risks of deploying unreviewed code
  2. Your Obligations: You accept that the security of deployed code is your responsibility, and that you must:

    • Perform security scans before deployment (Section 7.3)
    • Follow safe coding practices (Section 7.4)
    • Not deploy code to production without adequate review
  3. Shared Responsibility: To the extent permitted by law, liability for security defects in generated code shall be apportioned based on each party's contribution to the defect and failure to follow reasonable security practices.

13.4 Statutory Exceptions

These limitations do not apply where prohibited by law or to:

  • Our gross negligence or willful misconduct
  • Our breach of confidentiality obligations
  • Death or personal injury caused by our negligence
  • Claims under the Consumer Rights Act 2015 (where applicable)
  • Mandatory product liability claims that cannot be excluded under applicable law

14. Indemnification

You agree to indemnify and hold harmless SnowCoder and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your generated or submitted content
  • Your ServiceNow instance usage

15. Term and Termination

15.1 Term

These Terms are effective until terminated by either party.

15.2 Termination by You

You may terminate by:

  • Canceling your subscription
  • Deleting your account
  • Ceasing all use of the Service

15.3 Termination by Us

We may terminate or suspend your account immediately, without prior notice, for:

  • Breach of these Terms
  • Violation of Acceptable Use Policy
  • Non-payment of fees
  • Legal or regulatory requirements
  • Protection of our systems or other users

15.4 Effect of Termination

Upon termination:

  • Your right to use the Service ceases immediately
  • We may delete your data (subject to legal retention requirements)
  • Provisions that should survive will remain in effect
  • You remain liable for any amounts owed

15.5 Surviving Provisions

The following sections survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, and Governing Law.

16. Changes to Terms

16.1 Modifications

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to the Service, unless otherwise specified.

16.2 Notice

We will provide notice of material changes by:

  • Email to your registered address
  • Prominent notice on the Service
  • At least 30 days before effective date (for material changes)

16.3 Acceptance

Continued use of the Service after changes constitutes acceptance. If you do not agree to modified Terms, you must stop using the Service.

17. Governing Law and Disputes

17.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, United Kingdom, without regard to conflict of law principles.

17.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved as follows:

  1. Informal Resolution: Contact us first to resolve disputes informally
  2. Mediation: If informal resolution fails, the parties agree to attempt resolution through mediation
  3. Litigation: If mediation fails, disputes shall be resolved through the courts of England and Wales

17.3 Jurisdiction

The courts of England and Wales shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy and other referenced policies, constitute the entire agreement between you and SnowCoder.

18.2 Severability

If any provision is found unenforceable, the remaining provisions will continue in effect.

18.3 Waiver

Our failure to enforce any provision does not waive our right to enforce it later.

18.4 Assignment

You may not assign these Terms without our consent. We may assign our rights and obligations freely.

18.5 Force Majeure

We are not liable for failures caused by circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or government actions.
